1. Introduction
Welcome to Skilltrade. These Terms of Service ("Terms") govern your access to and use of the Skilltrade platform, including our website, services, and applications (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
Please read these Terms carefully before using our Service. If you do not agree to these Terms, you may not access or use the Service.
2. Definitions
"Skilltrade", "we", "us", and "our" refer to the Skilltrade platform and its operators.
"User", "you", and "your" refer to any individual or entity that accesses or uses the Service.
"Teacher" refers to a User who offers to teach a skill through the Service.
"Learner" refers to a User who books a session to learn a skill through the Service.
"Time Credits" refer to the virtual currency used on the platform to book and teach sessions.
3. Account Registration and Eligibility
To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You must be at least 18 years old to create an account and use the Service. By creating an account, you represent and warrant that you are at least 18 years old.
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4. Time Credits System
Skilltrade operates on a time-banking model where Users exchange skills based on time spent teaching or learning.
New Users receive an initial balance of Time Credits upon registration, as determined by our current policy.
Time Credits are earned by teaching skills to other Users and are spent by learning skills from other Users.
Time Credits have no monetary value and cannot be exchanged for cash or other consideration outside the Service.
We reserve the right to adjust Time Credit balances in cases of system errors, abuse, or violations of these Terms.
5. Skill Sessions
Teachers may offer skill sessions through the Service, specifying the skill, duration, and availability.
Learners may book sessions with Teachers, subject to the Teacher's approval and the Learner having sufficient Time Credits.
Both Teachers and Learners are expected to attend scheduled sessions punctually and for the full agreed duration.
After a session, both parties must confirm completion. The Teacher earns Time Credits and the Learner spends Time Credits only after mutual confirmation.
Disputes regarding sessions will be handled according to our dispute resolution process.
6. User Conduct
You agree not to use the Service to:
- Violate any applicable law or regulation
- Infringe the rights of any third party
- Harass, abuse, or harm another person
- Send spam or unsolicited messages
- Impersonate another person or entity
- Interfere with the proper functioning of the Service
- Attempt to access areas of the Service you are not authorized to access
- Transmit viruses, malware, or other harmful code
- Collect or harvest user data without permission
- Use the Service for commercial purposes without our express consent
7. Content Guidelines
You are solely responsible for any content you post on the Service, including skill descriptions, profile information, messages, and reviews.
You agree not to post content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of privacy, or otherwise objectionable.
We reserve the right to remove any content that violates these Terms or that we find objectionable for any reason, without prior notice.
8. Intellectual Property
The Service and its original content, features, and functionality are owned by Skilltrade and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You retain ownership of any content you post on the Service, but you grant us a non-exclusive, royalty-free, transferable, sublicensable, worldwide license to use, store, display, reproduce, modify, and distribute your content in connection with operating and promoting the Service.
9. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.
Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
10. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
We do not warrant that the Service will function uninterrupted, secure, or available at any particular time or location, or that any errors or defects will be corrected.
11. Limitation of Liability
To the maximum extent permitted by law, in no event shall Skilltrade be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.
12. Indemnification
You agree to defend, indemnify, and hold harmless Skilltrade and its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney fees and costs, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.
13. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
14. Governing Law
These Terms shall be governed and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law provisions.
